About the Role

Shadeform is looking for a highly analytical, detail-oriented Commercial Operations & Deal Desk Manager to own the operational integrity of our commercial transactions.
Reporting directly to the COO, you’ll sit at the intersection of Sales, Finance, Legal, and Operations and serve as a key control point from commercial agreement through signature and implementation handoff.


At its core, your job is to ensure the deal we sell downstream is commercially, contractually, and operationally supported by the deal we have secured upstream.
You’ll review contracts, validate deal economics and margins, ensure upstream and downstream terms align, maintain accurate CRM records, coordinate approvals and legal review, and make sure Implementation receives a clean and accurate handoff.
This is a hands-on commercial role requiring strong contract experience, financial aptitude, and exceptional attention to detail.


What You’ll Do

  • Validate deal economics: Review customer pricing, provider costs, TCV, gross margin, deposits, payment schedules, contract terms, and cash-flow exposure before signature.

  • Align upstream and downstream terms: Review customer and provider agreements together to identify mismatches in pricing, term, payment obligations, SLAs, remedies, termination rights, liability, delivery obligations, technical specifications, and other material commitments.

  • Review commercial contracts: Conduct first-pass reviews of MSAs, SOWs, order forms, NDAs, amendments, and related agreements; coordinate redlines and escalate substantive legal matters to counsel.

  • Own deal desk governance: Ensure required commercial, financial, legal, and operational approvals are complete before signature and that material exceptions are identified and approved.

  • Maintain CRM integrity: Ensure every deal is completely and accurately recorded in CRM before signature and matches the final contract and approved economics.

  • Own implementation handoff: Ensure Implementation receives complete and accurate commercial terms, technical specifications, customer requirements, provider commitments, timelines, and outstanding obligations.

  • Drive cross-functional execution: Work across Sales, Finance, Legal, Operations, providers, and leadership to keep complex transactions moving.

The expectation is not that every upstream and downstream provision is identical. It is that every material mismatch is understood, intentionally accepted, and appropriately approved.


What We’re Looking For

  • 4–8+ years of experience in deal desk, commercial operations, commercial contracts, legal operations, transaction management, or a related role.

  • Substantial hands-on commercial contract experience is required.

  • Experience reviewing complex B2B agreements, including MSAs, SOWs, order forms, and amendments.

  • Strong understanding of commercial terms including payment, termination, liability, indemnification, SLAs, service credits, acceptance criteria, and contractual obligations.

  • Strong financial and spreadsheet skills with the ability to independently validate deal economics and margin.

  • Exceptional attention to detail and project-management skills.

  • Strong CRM discipline and experience working across Sales, Finance, Legal, and Operations.

  • Ability to manage multiple complex transactions simultaneously and know when an issue requires executive or legal escalation.

  • Comfortable challenging inconsistencies and pushing back when a transaction doesn’t match what was approved.

  • JD or other legal degree preferred, but not required.

  • Experience with AI infrastructure, cloud computing, data centers, hardware, or other complex infrastructure transactions is a plus.

What Success Looks Like

The COO should be able to hand you a transaction and trust you to answer:

  • Do the upstream and downstream agreements align?

  • Are we promising anything we haven’t secured?

  • Are the economics and margin correct?

  • Does the CRM match the contracts?

  • Do the technical specifications match what was sold?

  • Is Implementation receiving a complete and accurate handoff?

You’ll become a key extension of the COO and help ensure Shadeform can move quickly on complex transactions without sacrificing commercial, contractual, or operational rigor.
